London, United Kingdom, 22 February 2021 — Nord Gold UK Societas (“Nordgold» or the «Company”), the internationally diversified gold producer, intends to convert to a public limited liability company registered in England and Wales (“PLC”) (“Conversion”). The Conversion will be subject to, amongst other things, shareholders’ approval. The Terms of Conversion were filed with Companies house on 2 February 2021, notice of which was published in the Gazette on 9 February 2021. Nordgold was automatically converted from Nord Gold SE as of 31 December 2020, following the end of the Brexit transition period. The form of a UK Societas is intended to be a temporary stage for an SE that was registered in the UK on 31 December 2020 and not a long-term corporate choice for UK corporate vehicles. The form of a PLC is a more familiar form of entity than that of a UK Societas and as such, there is greater legal certainty as to the effect of laws and regulations surrounding the operation of a PLC. There will be no change to the business or objectives of the Company following the proposed Conversion and the PLC articles proposed to be adopted upon the Conversion becoming effective are substantially the same as the existing statutes of the Company. Consequently, on the Conversion becoming effective, shareholders will continue to have the equivalent rights under the PLC articles as they do under the current statutes of the Company.
